Mini Calendar Web Part End User License Agreement (EULA)
Effective Date: May 21, 2025
1. Acceptance of Terms & Authority to Contract
By installing, accessing, or using the Mini Calendar Web Part for SharePoint (“Product”), or by activating a trial or submitting payment for a subscription, you represent and warrant that:
- You act on behalf of a legal entity (“Customer”).
- You have full authority to bind that entity to these Terms and Conditions (“Terms”).
- You are authorized to initiate and approve payments, including automatic annual renewals, for the Product.
- Customer remains fully liable for all fees and agrees to defend, indemnify, and hold harmless Zenpo LLC (“Zenpo,” “we,” “us”) from any claims, chargebacks, or losses arising from a purchaser’s lack of authority or misuse of a payment method.
Activation of a trial or paid plan also constitutes acceptance of the Zenpo Terms and Conditions, Privacy Policy, and the Product EULA, all of which are displayed in-app and emailed upon activation.
2. Definitions

| User | A unique individual listed in a SharePoint site-collection users.aspx page. User limits apply per site collection. |
| Domain | The SharePoint tenant URL under which the Product is licensed (e.g., example.sharepoint.com). |
3. Domain-Based Licensing
A subscription is restricted to one SharePoint domain. Licenses do not transfer to other domains (e.g., subdivision.sharepoint.com). Any number of site collections within the licensed domain may use the Product, provided each stays within plan User caps.

5. Enterprise Flex Plan
Requests above 1,200 Users/site collection undergo Zenpo technical review. Zenpo may refuse or defer a Flex Plan if use is unsafe, unscalable, or abusive. Unless superseded by a signed Flex contract, these Terms govern the Flex Plan.
6. Trial Period
- 14-day free trial, plus a one-time 7-day self-serve extension.
- One active trial per domain; activation requires acceptance of all Zenpo legal agreements.
- Trials expire automatically unless upgraded to a paid plan.
7. Upgrades & Downgrades
- Upgrade: Features unlock instantly; billing adjusts immediately.
- Downgrade: Takes effect at the next renewal; current features remain until term-end (Stripe preserves access and lowers fees on renewal).
8. Renewals & Cancellations — No Refunds
- Subscriptions auto-renew annually.
- Renewal-reminder emails sent 30–7 days before renewal.
- Cancel anytime via in-app form; renewal stops at term-end.
- No refunds once a term starts — even if cancellation occurs one day after renewal.

10. Data Handling, Privacy & Indemnity
Data collected for license validation
- SharePoint domain (e.g.,
contoso.sharepoint.com) - Plan tier & internal subscription identifiers
- Anonymous user-count telemetry (aggregated seats; no individual identities)
- Email address of the purchasing user acting on behalf of Customer
This metadata never contains SharePoint list items, document contents, or file metadata. It is encrypted at rest in U.S. data centers, processed solely for license enforcement and support, and retained for the subscription term plus 12 months (unless a shorter period is required by law or Customer exercises GDPR deletion rights). Full details and data-subject rights are set out in the Zenpo Privacy Policy.
Zenpo will never use this metadata for advertising, AI model training, or analytics beyond aggregate usage statistics.
Indemnity — Customer will defend, indemnify, and hold Zenpo harmless from any third-party claims, damages, or costs arising from (i) Customer’s use or misuse of the Product, (ii) violation of law, or (iii) breach of these Terms.
11. Service Availability & Force Majeure
Zenpo targets high uptime but does not guarantee uninterrupted service. Performance depends on Microsoft 365 infrastructure and Customer’s tenancy.
Force Majeure: Zenpo is not liable for delays or failures caused by events beyond its control, including Microsoft 365 outages or changes, natural disasters, cyber-incidents, pandemics, labor disputes, or internet failures.
12. Pilot & Trial Disclaimers
Use of the free Pilot Plan or trial is at your own risk. Zenpo provides the Product “AS IS” with no warranties and no guaranteed support during these phases.
13. Limitation of Liability
Zenpo is not liable for indirect, incidental, special, or consequential damages. Zenpo’s aggregate liability is capped at the fees paid by Customer for the Product in the 12 months preceding the claim.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of the Commonwealth of Virginia (USA). All disputes shall be resolved exclusively in the state or federal courts of Fairfax County, Virginia, and Customer consents to that venue and jurisdiction.
15. Modifications
Zenpo may revise these Terms at any time. Notice will be provided in-app or via email. Continued use after updates constitutes acceptance.
